Fed. B will accept A's foul, fouls offset, replay the down. If B declines the foul on A then A ball on the B 44 yard line as A will take the foul on B.

Quick note: If B declines, then A would have to
decline to keep the ball at the A44. If they accept, the hold would be enforced from the B16, leaving B in possession, 1/10 at the B8.
